Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern your use of ravingCRM, a customer relationship management platform designed for education consultancies, migration agencies, and similar service providers ("Platform"), operated by Humanised Technology Solutions (Private) Limited ("Company", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

  • "Consultancy" or "Primary Licensee" means the migration agency, education consultancy, or similar business entity that subscribes to ravingCRM and holds the billing relationship with the Company.
  • "Team Members" means the Consultancy's internal staff who are granted access to the Platform by the Consultancy.
  • "Agents" or "Referral Partners" means external partners who refer leads to the Consultancy and are granted access to the Platform to onboard, manage, view progress, and upload files on behalf of their referred Customers.
  • "Customers" means the students, migrants, or other end-clients who use the Platform's customer portal.
  • "Users" collectively refers to Consultancies, Team Members, Agents, and Customers who access the Platform.
  • "Data" means any information, content, or materials uploaded, stored, or processed through the Platform.
  • "Subscription Fee" means the periodic fee payable by the Consultancy for access to the Platform.

3. User Roles and Responsibilities

3.1 Consultancy (Primary Licensee)

The Consultancy is the primary account holder and is responsible for:

  • Payment of all Subscription Fees
  • Managing Team Member and Agent access
  • Ensuring compliance with these Terms by all Users under their account
  • Maintaining accurate billing and contact information
  • Obtaining necessary consents from Customers for data processing

3.2 Team Members

Team Members are granted access by the Consultancy and must:

  • Use the Platform only for legitimate business purposes
  • Maintain confidentiality of login credentials
  • Comply with all applicable laws and regulations
  • Report any security incidents to the Consultancy

3.3 Agents (Referral Partners)

Agents receive free access to the Platform and may:

  • Onboard and manage their referred Customers
  • View progress of their referred Customers
  • Upload files on behalf of their referred Customers

Agents must:

  • Operate within the scope authorized by the Consultancy
  • Maintain confidentiality of Customer information
  • Not share their credentials or access with unauthorized parties

3.4 Customers

Customers receive access to the customer portal and may:

  • View their application status and progress
  • Upload and download documents
  • Communicate with their assigned Consultancy and Agent

Customers must:

  • Provide accurate and truthful information
  • Maintain confidentiality of their login credentials
  • Use the Platform only for lawful purposes

4. Account Registration and Security

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • The Consultancy is responsible for all activities under their account and any sub-accounts.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Fees and Payment

5.1 Subscription Model

The Platform is offered on a subscription basis to Consultancies. Agent and Customer access is provided at no additional charge to the Consultancy.

5.2 Payment Terms

  • Subscription Fees are invoiced monthly in arrears on the 1st day of each month.
  • Payment is due within fourteen (14) days of invoice date.
  • All fees are inclusive of applicable taxes unless otherwise stated.
  • Late payments may result in suspension of access to the Platform.

5.3 Price Changes

We may change Subscription Fees with thirty (30) days written notice. Continued use after the effective date constitutes acceptance of the new fees.

5.4 Refunds

No refunds are provided for partial months of service, plan downgrades, or unused periods, except as required by applicable law.

6. Data Use, Privacy and Confidential Information

6.1 Your Data

The Consultancy retains ownership of all Data uploaded to the Platform. By using the Platform, you grant us a license to use Your Data for:

  • Providing and improving the Platform services
  • Performing analytics using de-identified aggregate data
  • Communicating with you about the Platform and services

6.2 Privacy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms.

6.3 Customer Consents

The Consultancy is responsible for ensuring that all necessary consents have been obtained from Customers and other individuals whose personal information is entered into the Platform.

6.4 Confidentiality

Both parties agree to maintain confidentiality of the other party's confidential information and not to disclose it without prior written consent, except as required by law.

7. Intellectual Property

  • All intellectual property rights in the Platform, including software, designs, and content, belong to the Company or its licensors.
  • You may not copy, modify, distribute, or reverse engineer any part of the Platform.
  • The Consultancy retains all intellectual property rights in their Data.
  • We may use aggregated, anonymized data for product improvement and research.

8. Integrations and Third-Party Services

8.1 MCP Connector and AI Integration

The Platform may offer integration with AI services through the MCP Connector feature. Use of this feature is subject to:

  • You providing your own API keys ("BYOK" - Bring Your Own Key)
  • Compliance with the terms of the relevant AI service provider
  • You accepting responsibility for API usage costs charged by the AI provider

8.2 Third-Party Services

The Platform may integrate with third-party services. Your use of such services is subject to the terms and privacy policies of those third parties. We are not responsible for the actions or content of third-party services.

9. Warranties and Disclaimers

9.1 Service Availability

We will use reasonable efforts to maintain Platform availability. Our uptime commitment is set out in our Support & Service Policy.

9.2 Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.3 No Professional Advice

The Platform does not provide legal, immigration, educational, or other professional advice. You should seek independent professional advice as appropriate.

10. Limitation of Liability

  • To the maximum extent permitted by law, the Company excludes all liability for indirect, consequential, incidental, punitive, or special damages.
  • Our total aggregate liability under these Terms is limited to the Subscription Fees paid by the Consultancy in the six (6) months preceding the event giving rise to liability.
  • Nothing in these Terms excludes liability that cannot be excluded by law.

11. Indemnification

The Consultancy shall indemnify and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from any claims, losses, damages, or expenses arising from:

  • Breach of these Terms by the Consultancy or its Users
  • Violation of any law or third-party rights
  • Failure to obtain necessary consents for personal information
  • Use of the Platform in a manner not authorized by these Terms

12. Term and Termination

12.1 Term

These Terms commence when you first access the Platform and continue until terminated.

12.2 Termination by You

The Consultancy may terminate their subscription by providing at least ninety (90) days written notice before the end of the current billing period.

12.3 Termination by Us

We may terminate or suspend your access immediately if:

  • You breach any material term of these Terms
  • Payment is overdue by more than thirty (30) days
  • You become subject to insolvency proceedings
  • We reasonably believe your use threatens Platform security or other users

12.4 Effect of Termination

Upon termination:

  • All access rights cease immediately
  • You remain liable for any accrued fees
  • We will retain Your Data for three (3) months, after which it may be deleted
  • Provisions that by their nature should survive will continue in effect

13. Data Retention and Export

Upon termination or upon request, the Consultancy may export their Data in a standard format. We are not obligated to retain Data beyond three (3) months from the termination date.

14. Modifications to Terms

We may modify these Terms by posting updated Terms on the Platform or notifying you by email. If you do not agree with the changes, you must notify us within thirty (30) days. Continued use constitutes acceptance.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and Support & Service Policy, constitute the entire agreement between the parties.

15.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or successor.

15.5 Waiver

Failure to enforce any right shall not constitute a waiver of that right.

15.6 Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control.

15.7 Notices

Notices to us must be sent to: support@ravingcrm.com. We may send notices to your registered email address or through the Platform.
